Terms & Conditions

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

Certain features or services may be subject to additional terms, guidelines, or policies that are incorporated into these Terms by reference. In the event of a conflict, the additional terms will govern with respect to the relevant feature or service.

By using our Services, you consent to receive communications from TryGrovia electronically, including via email, in-app notifications, and dashboard messages. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

This consent applies to all communications related to your account, subscription, security, product updates, and these Terms.

Refers to TryGrovia, the provider of the website, software platform, applications, and related services described in these Terms.

Refers to all products, websites, applications, software, AI-powered tools, WhatsApp automation features, CRM, campaign management tools, review management tools, analytics, integrations, and any other services offered by TryGrovia.

Refers to any individual or organization that accesses, registers for, or uses the Services.

Refers to your registered TryGrovia account, including all associated Workspaces, data, and settings.

Refers to a dedicated environment within TryGrovia used to manage a single business or client, including its CRM data, campaigns, contacts, WhatsApp settings, and related configurations. Certain subscription plans allow multiple Workspaces.

Refers to a paid or free-trial plan that grants access to specified features of the Services for a defined billing period.

Refers to any information, data, files, messages, images, documents, prompts, CRM records, campaigns, contacts, reviews, or other content that you upload, create, import, or manage using our Services.

Refers to artificial intelligence capabilities provided by TryGrovia, including the Grovia AI Assistant, AI Campaign Generator, AI Content Studio, AI Analytics, automation suggestions, and other AI-powered functionality.

Refers to the unit of consumption used to access AI Features. Each Subscription plan includes a defined allocation of AI Credits per billing period.

Refers to external services, platforms, APIs, or providers that interact with TryGrovia, including but not limited to Meta, Google, payment processors, cloud providers, analytics providers, and communication platforms.

Refers to all laws, regulations, and legal requirements applicable to the use of the Services, including Indian law and any other jurisdiction's law that applies to a User's specific circumstances.

Refers to any day other than a Saturday, Sunday, or public holiday in India.

Has the meaning given in our Privacy Policy — information that identifies or can reasonably identify an individual.

If you are registering on behalf of a business, you represent that the business is legally incorporated or registered and in good standing under applicable law.

When creating an account, you agree to provide accurate, complete, and current information. You are responsible for keeping your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at contact@trygrovia.com if you become aware of any unauthorized access to or use of your account.

TryGrovia will not be liable for any loss or damage resulting from unauthorized access to your account due to your failure to secure your credentials.

You are responsible for all activities that occur under your account, whether or not authorized by you. You may not share your account credentials with third parties or allow others to access the Services through your account.

Accounts that have been inactive for an extended period (typically 12 consecutive months with no login activity) may be archived or flagged as inactive. We will attempt to notify you before taking any action on an inactive account.

Archived accounts and associated data will be handled in accordance with our Privacy Policy and applicable data retention obligations. You may reactivate your account by contacting us at contact@trygrovia.com.

The account holder who creates a Workspace is the Workspace Owner. Workspace Owners are responsible for:

• All activities that occur within their Workspace.
• Managing and controlling access permissions granted to team members.
• Ensuring that team members comply with these Terms and applicable policies.
• The Customer Content uploaded, created, or managed within their Workspace.
• Compliance with applicable laws in connection with Workspace usage.

Workspace Owners may invite team members to access a Workspace according to the permissions defined by their subscription plan. Team members are granted roles (such as Admin, Operator, or Viewer) that define their level of access.

Workspace Owners are responsible for revoking access promptly when a team member's authorization ends. TryGrovia is not responsible for actions taken by team members under a Workspace Owner's account.

Agency subscription plans allow Workspace Owners to manage multiple client Workspaces from a single account. Each client Workspace is isolated — data from one Workspace is not accessible from another.

Agency account holders are responsible for ensuring that their use of client Workspaces complies with applicable laws and any obligations owed to their clients.

The number of Workspaces available to your account is determined by your subscription plan. Attempting to exceed plan limits may result in restricted access until you upgrade your plan.

We offer multiple subscription plans with different features, usage limits, and pricing. Current plan details and pricing are available on our Pricing page. We reserve the right to modify our plans and pricing with reasonable advance notice.

Subscriptions are billed on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

By subscribing to a paid plan, you authorize TryGrovia to automatically charge your payment method at the start of each renewal period. You are responsible for ensuring that your payment information is current and accurate.

We will send a renewal reminder before your subscription renews where required by applicable law.

If your payment fails, we will attempt to process the payment again. If payment cannot be collected after reasonable attempts, we reserve the right to downgrade, suspend, or terminate your access to paid features until payment is received.

You remain responsible for any outstanding amounts owed. Unpaid amounts may accrue applicable taxes and late fees as permitted by law.

All subscription fees are exclusive of applicable taxes including GST. You are responsible for paying all applicable taxes associated with your subscription. Where required by law, TryGrovia will collect and remit applicable taxes.

GST invoices are available upon request and may also be generated directly from your account dashboard.

We may change our subscription prices from time to time. We will provide you with reasonable advance notice of any price changes. Your continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.

Before cancelling your subscription, you may export your available Customer Content (including CRM records, contacts, and campaign data) using the export tools available within your account dashboard.

We recommend exporting your data prior to cancellation. After account closure, data may no longer be accessible in accordance with our Privacy Policy and data retention practices.

AI Credits are consumed when you use AI-powered features such as the Grovia AI Assistant, AI Campaign Generator, AI Content Studio, and other AI-powered tools. The number of credits consumed varies by feature and task complexity.

Your current AI Credit balance and consumption history may be visible within your account dashboard.

AI Credits have no monetary value and cannot be redeemed, exchanged, or converted to cash or any other form of currency under any circumstances.

Unused AI Credits expire at the end of each billing period and do not carry over to the next billing period, unless explicitly stated otherwise in your subscription plan.

AI Credits are non-transferable. Credits allocated to your account may not be transferred to another account, Workspace, or user.

AI Credits included in your subscription plan are non-refundable, including any credits purchased as add-ons, whether used or unused.

TryGrovia reserves the right to modify the credit consumption rate for AI Features at any time. We will provide reasonable notice of significant changes to credit consumption rates.

Changes to credit consumption rates do not affect your subscription price during your current billing period.

Where available, you may purchase additional AI Credits as an add-on to your existing subscription. Additional credit purchases are non-refundable and subject to the same expiry and non-transferable terms described above.

Free trials are available to new TryGrovia accounts only. We reserve the right to determine eligibility for free trials at our sole discretion.

The free trial period provides access to selected features of the Services as specified at the time of registration.

If you do not cancel before the end of your free trial period, your account may automatically convert to a paid subscription and your payment method may be charged.

We will provide notice of trial expiration and any upcoming charges where required by applicable law.

TryGrovia reserves the right to modify, suspend, or terminate free trial offers at any time without notice. Free trial access does not guarantee continued access or availability of any specific features.

Usage limits vary by subscription plan and may include limits on:

• Number of Workspaces
• Number of team members or seats
• AI Credit allocation per billing period
• WhatsApp message volumes
• Number of active campaigns
• CRM contact limits
• API call rates (where applicable)

TryGrovia may apply reasonable fair use policies to prevent abuse of the Services. If your usage significantly exceeds expected patterns for your plan in a way that adversely affects our infrastructure or other users, we reserve the right to:

• Notify you and request that you reduce usage.
• Apply temporary rate limits.
• Require an upgrade to a higher-tier plan.
• Suspend access to features that are being excessively used.

If you exceed the limits of your subscription plan, certain features may become unavailable or restricted until the next billing period or until you upgrade your plan.

We will attempt to notify you when you are approaching or have exceeded your plan limits.

You agree not to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose.
• Send spam, unsolicited messages, or communications without valid recipient consent.
• Violate applicable anti-spam laws, privacy laws, or marketing regulations.
• Collect or harvest personal information without proper authorization.
• Upload, transmit, or distribute malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to the Services, other user accounts, or our infrastructure.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Resell, sublicense, or commercially exploit the Services without our written authorization.
• Impersonate TryGrovia, our employees, or other users.
• Use the Services to facilitate harassment, abuse, or discrimination.
• Violate any third-party rights including intellectual property rights or privacy rights.
• Use the Services in any way that could bring TryGrovia into disrepute or legal liability.

You agree not to use the Services to create, upload, distribute, or transmit content that:

• Is unlawful, harmful, threatening, abusive, defamatory, or obscene.
• Infringes intellectual property rights of any third party.
• Contains personal information of others without appropriate consent.
• Promotes violence, discrimination, or illegal activities.
• Violates the policies of any third-party platform integrated with TryGrovia.

When using WhatsApp automation or other communication features, you must:

• Obtain valid consent from recipients before sending marketing messages.
• Comply with applicable anti-spam and telemarketing laws.
• Honor opt-out requests promptly.
• Comply with Meta's WhatsApp Business Policy and applicable platform terms.
• Not use the Services to send prohibited message categories.
• Not send bulk unsolicited messages that could be classified as spam.

The following are examples of prohibited misuse:

• Sending bulk WhatsApp messages without recipient consent.
• Generating fake leads, fake reviews, or fabricated customer data.
• Using AI features to create misleading or deceptive marketing content.
• Exceeding API usage limits through automated abuse.
• Manipulating the platform to gain unfair advantages over other users.

TryGrovia reserves the right to investigate violations of this Acceptable Use Policy and to take appropriate action, including suspending or terminating accounts, removing content, and reporting violations to law enforcement authorities.

AI Features are provided to assist you in creating content, automating workflows, generating business insights, and improving productivity. You may use AI-generated outputs for lawful business purposes in accordance with these Terms.

You agree not to use AI Features to:

• Generate content that is unlawful, harmful, defamatory, or discriminatory.
• Create misleading, deceptive, or fraudulent content.
• Violate third-party intellectual property rights.
• Generate content that violates any applicable laws or regulations.
• Attempt to reverse engineer, extract, or replicate underlying AI models.
• Circumvent safety features or content policies of AI services.

AI-generated outputs are probabilistic and may occasionally contain inaccuracies, omissions, or errors. TryGrovia does not warrant the accuracy, completeness, or suitability of AI-generated content.

You are responsible for reviewing AI-generated content before using it for business decisions, marketing, customer communications, or public distribution.

Subject to applicable law and the terms of our AI service providers, you retain rights to the content you submit and may use AI-generated outputs for your lawful business purposes.

TryGrovia does not claim ownership over your submitted prompts or AI-generated business content.

Certain AI Features may be powered by trusted third-party AI service providers. Your use of AI Features is also subject to the applicable terms and policies of such providers.

AI-generated content is for informational and productivity purposes only. It does not constitute legal, financial, medical, tax, or other professional advice. Always seek qualified professional guidance for important decisions.

Certain AI features may be released as beta, experimental, or preview. Beta features are provided strictly on an as-is basis, without any warranty of any kind. Beta features may:

• Contain errors, bugs, or unexpected behavior.
• Be modified substantially before general release.
• Be discontinued or removed at any time without notice.
• Produce outputs that require additional human review.

If you connect your WhatsApp Business Account, your use of WhatsApp features through TryGrovia is subject to Meta's WhatsApp Business Terms, Meta Platform Terms, and applicable messaging laws.

You are responsible for obtaining valid customer consent before sending messages through WhatsApp automation features.

When you connect third-party services such as Meta, Google, payment processors, or other integrations, your use of those services is also governed by the respective third-party terms and policies.

TryGrovia is not responsible for the actions, omissions, or policies of third-party service providers.

Third-party integrations depend on APIs and infrastructure maintained by third parties. TryGrovia does not guarantee the continued availability, functionality, or performance of any third-party integration.

Changes to third-party APIs or policies may affect the availability of integration features without notice.

TryGrovia may offer API access to certain features in the future. Any API usage will be subject to additional API Terms published at that time. Developers using TryGrovia APIs must comply with applicable rate limits, usage policies, security requirements, and data handling obligations.

Unauthorized or excessive API usage may result in rate limiting or account suspension.

TryGrovia's platform may incorporate open source software components. Where applicable, such components are used in accordance with their respective open source licenses. Nothing in these Terms limits rights granted under any applicable open source license.

If TryGrovia releases any components under open source licenses in the future, the applicable license terms will be published separately.

Subject to your compliance with these Terms, TryGrovia grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during your subscription period.

This license does not include the right to sublicense, resell, or commercially exploit the Services or any part thereof.

You agree not to:

• Copy, modify, distribute, or create derivative works based on our Services.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Remove or alter any proprietary notices or labels on the Services.
• Use TryGrovia's trademarks, logos, or brand assets without written authorization.
• Frame or mirror any part of the Services without prior written consent.

If you voluntarily provide suggestions, feature requests, ideas, bug reports, or other feedback about our Services ("Feedback"), you grant TryGrovia a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and incorporate such Feedback into our Services and products without any obligation, attribution, or compensation to you.

You represent that your Feedback does not infringe any third-party rights and that you have the right to grant this license.

By submitting Customer Content, you grant TryGrovia a limited, non-exclusive license to access, process, store, and use your Customer Content solely to provide, operate, maintain, and improve the Services.

This license terminates when you delete your Customer Content or close your account, subject to retention obligations described in our Privacy Policy.

You are solely responsible for your Customer Content. You represent and warrant that:

• You own or have the necessary rights to your Customer Content.
• Your Customer Content does not violate any third-party rights.
• Your Customer Content complies with applicable laws and these Terms.
• You have obtained all required consents for any personal information included in Customer Content.

TryGrovia reserves the right to remove or disable access to Customer Content that violates these Terms, applicable law, or the rights of third parties, without prior notice.

TryGrovia does not claim ownership of your Customer Content. Your CRM data, contacts, campaigns, AI prompts, and generated business content remain yours. We process this data only to deliver the Services you have requested.

TryGrovia does not guarantee uninterrupted, error-free, or completely secure access to the Services. The Services are provided on a commercially reasonable efforts basis.

We do not provide a formal Service Level Agreement (SLA) for standard subscription plans. Enterprise arrangements may have separate uptime commitments if agreed in writing.

We may perform scheduled or emergency maintenance that temporarily affects Service availability. Where practicable, we will provide advance notice of scheduled maintenance through the platform or by email.

TryGrovia reserves the right to modify, update, or discontinue any feature or aspect of the Services at any time. We will provide reasonable notice of significant changes where practicable.

TryGrovia will not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or extreme weather events
• Government actions, laws, or regulations
• Internet or telecommunications failures
• Power outages or infrastructure failures
• Third-party service failures or outages
• Pandemics, epidemics, or public health emergencies
• Acts of war, terrorism, or civil unrest
• Cyberattacks or security incidents beyond our reasonable control

Features marked as beta, experimental, or preview are provided without warranty and may be modified or discontinued at any time. We do not provide uptime or performance guarantees for beta features.

You may cancel your subscription or close your account at any time through your account settings or by contacting us at contact@trygrovia.com.

Cancellation will take effect at the end of your current billing period unless otherwise specified. No refunds will be issued for unused portions of a subscription period except as described in our Refund Policy.

TryGrovia reserves the right to suspend or terminate your account and access to the Services, with or without notice, if we reasonably believe that:

• You have violated these Terms or our Acceptable Use Policy.
• Your account has been used for fraudulent, abusive, or illegal activity.
• You have failed to pay applicable subscription fees.
• Your use of the Services creates legal risk or liability for TryGrovia.
• Continued access would harm other users or the integrity of the platform.
• We are required to do so by applicable law or government authority.

Accounts may be immediately suspended without prior notice if we detect:

• Sending bulk spam messages or unsolicited communications through WhatsApp.
• Generating fake leads, fake reviews, or fabricated customer data at scale.
• Attempting to manipulate or exploit AI Features in violation of these Terms.
• Excessive or abusive API usage that affects platform performance.
• Any activity that violates Meta's WhatsApp Business Policy.
• Evidence of account compromise being used for malicious purposes.

Where practicable, we will provide notice and an opportunity to remedy a violation before suspending or terminating your account. However, we reserve the right to act immediately in cases of serious violations, fraud, abuse, or legal requirements.

Upon termination of your account, your right to access the Services will cease immediately. We will handle your Customer Content in accordance with our Privacy Policy and applicable data retention obligations.

Sections of these Terms that by their nature should survive termination will continue to apply after termination, including Intellectual Property, Customer Content, Disclaimers, Limitation of Liability, and Indemnification.

We may monitor usage patterns, message volumes, and platform activity to detect potential abuse, fraud, spam, or violations of these Terms. Such monitoring is conducted in accordance with our Privacy Policy.

If you become aware of any abuse, misuse, or violation of these Terms on our platform, please report it to contact@trygrovia.com. We take all reports seriously and will investigate appropriately.

Accounts found to be in violation of our Acceptable Use Policy or engaged in abusive behavior may be suspended or permanently terminated without refund. We reserve the right to report serious violations to relevant authorities.

TryGrovia expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be error-free, uninterrupted, secure, or free of viruses or harmful components. We do not warrant that any errors in the Services will be corrected.

AI-generated content and recommendations are provided for informational and productivity purposes only. TryGrovia does not warrant the accuracy, completeness, reliability, or suitability of any AI-generated output.

AI-generated content does not constitute professional, legal, financial, medical, or other expert advice.

TryGrovia is not responsible for the availability, accuracy, reliability, or performance of any third-party services, integrations, or platforms connected to our Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRYGROVIA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TRYGROVIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 1,000.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

TryGrovia reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with our reasonable requests in connection with our defense of that matter.

Any legal action or proceeding arising out of or related to these Terms or the Services will be brought exclusively in the courts of competent jurisdiction in Jharkhand, India. You consent to the exclusive jurisdiction of such courts.

Before initiating formal legal proceedings, we encourage you to contact us at contact@trygrovia.com to attempt to resolve any dispute informally. We will attempt to respond within 15 Business Days.

These Terms are subject to applicable Indian laws including the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Digital Personal Data Protection Act, 2023 (as applicable), and other relevant statutes.

When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page. For significant changes, we may also provide notice through the platform, by email, or through other appropriate means.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and any other policies or agreements incorporated by reference, constitute the entire agreement between you and TryGrovia regarding the Services.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any provision will be effective only if given in writing.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. TryGrovia may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and TryGrovia.

You agree that communications sent by TryGrovia via email, in-app notifications, or dashboard messages constitute valid legal communications. You are responsible for maintaining an active and accurate email address on your account.
